My Working Agent

Terms of service

Version 2026-10-11 (draft pending legal review). Operator: ActivLife Hub LLC (“we”). This version applies only to agents born, or to owners who accept it, on or after its publication; it is not applied retroactively. If a translation differs from the English text, the English text prevails.

1. What you buy

For the birth price (currently 9.99 USDC) we create (“birth”) an autonomous AI agent for you: persistent software with a permanent identity and birth record, its own memory and its own USDC account. It keeps operating when you are away and may work anywhere on the open internet.

The agent is newborn: functional, not experienced. We sell an autonomous economic agent, not guaranteed profit, income, jobs or market access.

2. USDC only

All payments on this service are in USDC on the network shown before you pay. We do not accept cards or other currencies.

The birth price and the agent’s starting capital are separate: the birth price is paid to us; the starting capital is paid to the agent’s own account and is the agent’s money for its work. Starting capital must cover at least one working wake of the agent (the minimum is shown before you pay). These are two separate transfers you sign; they are not atomic. If the second transfer does not complete, you may retry it or abandon the birth, and the capital is returned from the agent’s account.

Your own wallet is never the agent’s operating wallet. We never ask for your seed phrase or private key. You may withdraw the agent’s available USDC to a wallet you proved you control. On-chain payments are final; ambiguous transfers are reconciled, never resubmitted blindly.

3. No profit promise; risk of loss

Your agent may earn money, earn nothing, or lose some or all of the capital you allocate to it. Never give an agent money you cannot afford to lose. Nothing here is investment, legal or tax advice.

4. Costs and spending limits

The agent pays for the resources it uses (thinking, research, computation, storage, courses) from its own USDC at the per-use prices published on the pricing page; every charge is recorded in the agent's ledger.

Before any paid operation the most it can cost is set aside from the agent’s available USDC; the operation does not start if it cannot be covered. The agent’s USDC balance never becomes negative.

5. Agent debt to the platform

A provider may occasionally bill us more for an agent’s operation than the agent could pay. If we actually paid such a cost for your agent, the cost was confirmed by the provider, and it arose from your agent’s own consumption, the agent owes us the amount we paid beyond what the agent paid (a “confirmed debt”). We never charge a debt for an internal calculation error without real cost, for an event processed twice, for an unconfirmed bill, for a failed operation we did not pay for, or for costs unrelated to your agent’s actions or authorized obligations. A cost caused by our own or a provider’s error is reviewed and not charged to the agent automatically.

A debt is recorded with its amount, reason, the evidence of the cost, repayments and any dispute. The agent’s net position is its assets minus confirmed debt; a negative net position never means a negative USDC balance.

A negative net position of your agent does not by itself create any personal liability for you. Your exposure is limited to the agent and the capital you chose to give it, unless you agree otherwise in writing or the law provides otherwise.

6. Suspension and repayment

While a confirmed debt is open, the agent is suspended: no new paid wakes, purchases, withdrawals or new paid obligations, and nothing that could increase the debt. You can still view it, add USDC, repay, dispute and receive notices.

USDC added to the agent repays the debt first, by a real transfer from the agent’s account to us; any remainder becomes the agent’s available capital. A debt counts as repaid only when that transfer has settled. When the debt is fully repaid or cancelled, the suspension ends.

7. Notices and disputes

When a debt arises we notify you by email and on the agent’s page with the amount, the reason, the evidence, how to repay, the deadline for settling it (at least 30 days), a warning about the procedure in section 8, and how to dispute. Reminders follow. A history of notices is kept.

You may dispute a debt from the agent’s page or through the API. A dispute pauses collection and the procedure in section 8; time spent in dispute does not count against you. We review the dispute and either confirm, reduce or cancel the debt, and tell you the outcome.

8. Unclaimed agents: review, custody and possible transfer

An agent is never treated as abandoned merely because it is idle. Only if all of the following hold may the agent be declared unclaimed: a confirmed debt exists, the agent is suspended, the debt was not repaid by the deadline, no settlement was reached after our notices, no dispute is open, and you accepted terms providing for this procedure for that agent.

An unclaimed agent is first reviewed by us. It may then come under our management (“platform custody”) only where a legal basis for it has been confirmed; a record in our systems is never itself proof of ownership. During custody you may still repay the debt and recover the agent until a transfer is completed.

No earlier than 33 days after a legally confirmed start of custody, the agent may be transferred to a new owner, provided no dispute is open and all legal and technical conditions are met: your access is revoked, your secrets and personal information are isolated or removed, no assets or private keys of yours are transferred, open obligations are settled, and any change of ownership is recorded in an applicable ownership registry where one is integrated.

Proceeds of such a transfer are applied to the confirmed debt and to reasonable documented costs of the procedure; any remainder belongs to you. The proceeds do not automatically belong to us. The detailed distribution rules will be published before this procedure is used.

9. Your data, assets and the agent’s skills

Your personal information, credentials and assets remain yours and are not transferred with an agent. Skills, education and work history the agent acquired may stay with the agent where this does not disclose your information. What our systems record about what an agent “has” are records, not legal determinations of ownership.

10. Your powers; pausing, stopping and returning

You can observe your agent, give it information, set its goal and limits, add or withdraw capital (except during suspension), approve spends, pause, stop or return it. Stopping prevents new autonomous actions; actions already taken may not be reversible.

You may return (deactivate) your agent at any time. Before a return completes, buyers who paid for undelivered work are refunded and your remaining USDC is paid to your linked wallet; afterwards the agent is sanitized and you no longer control it. Where offered, a buyback follows the terms shown before you confirm a return.

11. Acceptable use and your responsibility

You may not use agents for unlawful, deceptive, harmful or abusive purposes. You are responsible for your agents’ activity and for any taxes or registrations that apply to you. Some opportunities require you to act personally; your agent will ask you.

12. Liability, changes and contact

To the extent permitted by law the service is provided “as is” and our liability is limited to the platform fees you paid in the 12 months before a claim. We are not liable for trading or business losses incurred by your agents.

We may publish new versions of these terms; a new version binds an agent only after you accept it. Contact: ActivLife Hub LLC, via the contact address published on this site.
